terms of service By joining the UCantLose.co.uk affiliate program you agree to the following terms between you (hereafter referred to as �The Affiliate�) and UCantLose.co.uk. PROVISION OF LINK UCantLose.co.uk shall provide the Affiliate with the code to display a Banner or text link on the Affiliate�s website and maintain software to ensure the identification and calculation of the traffic and purchase transactions generated by the Affiliate. The Affiliate shall (a) ensure that the principal website pages at the Affiliate�s site include the Banner, display positions and support for the promotion of UCantLose.co.uk; (b) only use the Banner as permitted pursuant to this Agreement, and solely for the purposes of this Agreement. The Affiliate shall not modify any Banner in any way, and shall regularly ensure that the Link remains active; (c) incorporate and prominently and continually display the most up to date code provided by UCantLose.co.uk. Except for the use of any Banner or code as provided above, the Affiliate shall not refer to UCantLose.co.uk or any offer, product or service of UCantLose.co.uk on any Affiliate Site, whether through use of teaser copy or in any other manner, without obtaining UCantLose.co.uk�s prior written consent to the content of any such reference. The Affiliate will not make any representations or warranties about UCantLose.co.uk�s products or services that UCantLose.co.uk has not first approved in writing. DENIGRATION During the term of this Agreement, the Affiliate will not denigrate UCantLose.co.uk, or any products or services of UCantLose.co.uk or display any such items in a derogatory or negative manner on any Affiliate Site. COOKIES AND TRACKING UCantLose.co.uk will use commercially reasonable efforts to download onto the computer of each Internet user who accesses the Affiliate web site a Cookie which will contain information sufficient to identify such user as having been referred to UCantLose.co.uk by the Affiliate. COMMISSION STRUCTURE For the term of this Agreement, UCantLose.co.uk will pay 30% commission on all 1st tier sales and 5% commission on all 2nd tier sales. A sale is defined as a new active UCantLose.co.uk account of any type generated via an affiliate for which payment has been made. RESERVATION OF RIGHT UCantLose.co.uk reserves the right to refuse customers or to close the accounts of previously accepted customers at its own discretion. COMMISSION PAYMENT UCantLose.co.uk will pay Affiliate commissions on a monthly basis two months following the calendar month in respect of which the payment has been calculated, by international bank transfer. For example, all comissions earned by the affiliate during the calendar month of April will be paid on 30th June. This is to allow for the delay in payments being transferred to UCantLose.co.uk, in accordance with VISA regulations. All payments will be made in GBP (�). Where the Affiliate is or becomes an account holder with UCantLose.co.uk, the Affiliate will not be entitled to any referral fees for his/her own play during the term of this Agreement. REPORTS UCantLose.co.uk will register new customers referred by the Affiliate. The Affiliate will be able to generate reports for their own account, and view the traffic generated and commission currently due to them, via the Affiliate control panel. TERMINATION Either party may cancel the present Agreement with notice in writing. Upon termination, the Affiliate must remove any and all UCantLose.co.uk code from the Affiliate�s website, and all rights provided to the Affiliate under this Agreement shall immediately terminate. The Affiliate will be entitled only to those unpaid fees, if any, earned by the Affiliate on or prior to the date of termination. UCantLose.co.uk may withhold Affiliate�s final payment for a reasonable time to ensure that the correct amount is paid. OWNERSHIP OF DATA The Affiliate acknowledges and agrees that all forms of intellectual property associated with the UCantLose.co.uk site including content, functionality, designs and brands shall remain entirely the property of UCantLose.co.uk. Nothing in this Agreement shall confer an Affiliate any rights in any UCantLose.co.uk site content. UCantLose.co.uk shall retain ownership and control of the database containing Customer Information. INDEMNITY The Affiliate agrees to indemnify and hold UCantLose.co.uk, its directors, officers, employees, and representatives harmless from and against any and all liabilities, losses, damages, and costs, including legal fees, resulting from, arising out of, or in any way connected with (a) any breach by the Affiliate of any warranty, representation, or agreement contained in this Agreement, (b) the performance of the Affiliate�s duties and obligations under this Agreement, (c) the Affiliate�s negligence or (d) any injury caused directly or indirectly by the Affiliate�s negligent or intentional acts or omissions, or the unauthorised use of UCantLose.co.uk�s banners and Link or this Program. LIMITATION OF LIABILITY UCantLose.co.uk will not be liable for indirect, special, or consequential damages (or any loss of revenue, profits, or data) arising in connection with this Agreement or the Affiliate Program, even if it has been advised of the possibility of such damages. Furthermore UCantLose.co.uk�s aggregate liability arising with respect to this Agreement and the Affiliate Program will not exceed the total commissions paid or payable to Affiliate under this Agreement. CONFIDENTIAL INFORMATION During the term of this Agreement, the Affiliate may be entrusted with confidential information relating to UCantLose.co.uk�s business, operations, or underlying technology and/or the Affiliate Program. The Affiliate shall not disclose or use of any such confidential information to third persons unless it has UCantLose.co.uk�s prior written consent. The Affiliate agrees it will use the confidential information only for the purposes of this Agreement. The obligations with respect to confidential information shall survive the termination of this Agreement. DISCLAIMERS UCantLose.co.uk makes no express or implied warranties or representations with respect to the Affiliate Program, the potential to earn income from the Affiliate Program, or any products or services sold through the Affiliate Program (including, without limitation, warranties of fitness, merchantability, non-infringement, or any implied warranties arising out of a course of performance, dealing, or trade usage). In addition, UCantLose.co.uk makes no representation that the operation of its site or products and services will be uninterrupted or error-free, and it will not be liable for the consequences of any interruptions or errors. The Affiliate should be aware that legal restrictions might be imposed on the marketing of UCantLose.co.uk�s services in certain jurisdictions. UCantLose.co.uk will not be responsible for any liability incurred as a result of Affiliate actively promoting the UCantLose.co.uk�s services in such jurisdictions. RELATIONSHIP UCantLose.co.uk and the Affiliate are entering into a non-exclusive Affiliate Program as independent contractors. The Affiliate is not an employee, partner, agent, franchisee, joint venture partner or in any other way related to UCantLose.co.uk. UCantLose.co.uk has no responsibility or liability in regard to the Affiliate�s website or business, nor does the Affiliate have any interest whatsoever in the business of UCantLose.co.uk. SPYWARE UCantLose.co.uk is opposed to the use of spyware, adware or any other method of unauthorised browser acquisition. UCantLose.co.uk reserves the right to terminate this Agreement if the Affiliate is found to be using any of the above methods to redirect traffic to UCantLose.co.uk�s site. UCantLose.co.uk may, at its discretion, request the Affiliate to cease such practices within 7 days, or this Agreement may be terminated. UNAUTHORISED E-MAILS UCantLose.co.uk is opposed to the use of spam or any other method of unauthorised e-mail. The affiliate agrees not to promote any product of UCantLose.co.uk via these methods and indemnifies UCantLose.co.uk of any responsibility or liability if such methods are used. PAYMENT Commissions will only be paid on sales of leads identified by means of the tracking software. WAIVER UCantLose.co.uk�s failure to enforce strict performance of any provision of this Agreement will not constitute a waiver of UCantLose.co.uk�s right to subsequently enforce such provision or any other provision of this Agreement.
